Hush Pouch Events - Terms & Conditions
These Terms & Conditions (“Terms”) apply to the hire and purchase of Hush Pouches and ancillary products supplied by Hush Pouch Events Ltd (“we”, “our”, “us”) to you (“the Customer”, “you”, “your”). By placing an order, accepting a quotation, confirming a booking or making payment, you agree to these Terms.
1. ORDERS, PURCHASES & HIRE
1.1. We supply Hush Pouches and associated ancillary products for hire and purchase.
1.2. Your quotation or order confirmation will specify the Items being supplied, quantities, whether they are being hired or purchased, any agreed hire period, delivery or collection arrangements and any additional services.
1.3. All orders and bookings are subject to availability and acceptance by Hush Pouch Events Ltd.
1.4. Payment must be made in accordance with the terms stated on your quotation or invoice.
1.5. We reserve the right to withhold dispatch, delivery or collection of Items where payment has not been received by the agreed date.
2. ITEMS COVERED
2.1. Items supplied by us may include Hush Pouches together with ancillary products associated with the Hush Pouch system.
2.2. Ancillary products may include, without limitation, handheld or portable unlocking devices; fixed unlocking stations, bases or plates; cabinet-style or mounted unlocking units; mounts, stands and associated accessories; and other equipment supplied by us for the operation of the Hush Pouch system.
2.3. Your quotation or order confirmation will specify which Items are included and whether they are hired or purchased.
2.4. Ancillary products must only be used for their intended purpose and in accordance with any operating instructions supplied by us.
3. PURCHASED ITEMS
3.1. Where Items are purchased, ownership passes to the Customer once payment has been received in full and the Items have been delivered or collected.
3.2. The Customer should inspect purchased Items following receipt and notify us promptly of any shortages, damage or faults.
3.3. Purchased Items must be used in accordance with any instructions supplied by Hush Pouch.
3.4. Nothing in these Terms affects any statutory rights that apply to the Customer.
4. HIRED ITEMS
4.1. Where Items are hired, they remain the property of Hush Pouch Events Ltd at all times.
4.2. The hire period will be specified in the quotation or booking confirmation.
4.3. The Customer is responsible for all hired Items from the point of delivery or collection until they are returned to us.
4.4. Hired Items must only be used for their intended purpose and must not be sold, transferred, modified, dismantled or permanently altered.
5. DELIVERY, COLLECTION & RETURN
5.1. Delivery and collection arrangements will be confirmed as part of the order or booking.
5.2. For purchased Items, the Customer is responsible for accepting delivery or arranging collection as agreed.
5.3. For hired Items, all Items must be returned or made available for collection at the end of the agreed hire period.
5.4. Hired Items must be returned in substantially the same condition in which they were supplied, allowing for reasonable wear and tear.
5.5. Where original or specified packaging has been supplied for hired Items, it should be retained and used for their return unless otherwise agreed.
5.6. Additional delivery, collection, handling or waiting charges may apply where additional journeys or delays arise due to circumstances caused by the Customer.
6. PAYMENT
6.1. All prices are in pounds sterling and are exclusive of VAT unless otherwise stated.
6.2. Delivery, collection, staffing, logo printing and other additional services are charged separately unless expressly included within the quotation.
6.3. Payment must be made in accordance with the terms stated on the relevant quotation or invoice.
6.4. Any additional charges arising under these Terms, including loss, damage or late return of hired Items, will be invoiced separately.
7. USE & CARE
7.1. All Items must be used only for their intended purpose and in accordance with any instructions supplied by us.
7.2. Where Items are hired, the Customer must take reasonable care of them throughout the hire period and protect them from theft, loss, damage, tampering or misuse.
7.3. Hired Items must not be modified, dismantled, altered or repaired without our prior written consent.
7.4. Unless Hush Pouch staff have specifically been booked to operate the system, the Customer is responsible for the distribution, operation and collection of Hush Pouches at their event.
8. LOSS, DAMAGE OR THEFT OF HIRED ITEMS
8.1. This section applies to hired Items only.
8.2. The Customer is responsible for any hired Item that is lost, stolen, not returned or damaged beyond reasonable wear and tear while in their possession.
8.3. Any Hush Pouch that is lost, stolen, not returned or damaged beyond reasonable wear and tear will be charged at £15 + VAT per pouch.
8.4. Lost, stolen, unreturned or damaged ancillary products will be charged at their replacement cost.
8.5. Replacement charges will be invoiced following the event and must be paid in accordance with the payment terms stated on the invoice.
9. LATE RETURN OF HIRED ITEMS
9.1. All hired Items must be returned or made available for collection on the agreed date and at the agreed time.
9.2. Where hired Items are not returned as agreed, additional hire, collection, handling or other reasonable charges may apply until the Items are returned.
9.3. We reserve the right to arrange recovery of Items that have not been returned within a reasonable period. The Customer may be responsible for the reasonable costs associated with their recovery.
10. CUSTOMER LOGO PRINTING
10.1. Where purchased Hush Pouches are ordered with customer branding, the customisation offered is the addition of the Customer's supplied logo to the designated branding area on the pouch.
10.2. The Customer is responsible for supplying suitable logo artwork and approving the artwork proof before printing.
10.3. Once the Customer has approved the artwork and printing has commenced, the branded pouches cannot be changed, cancelled or refunded except where the goods are faulty, incorrectly supplied or where otherwise required by law.
10.4. The Customer confirms that they have the necessary rights or permission to use any logo supplied to us for printing.
10.5. Minor variations between colours displayed digitally and the finished printed logo may occur as a result of the printing process.
11. CANCELLATIONS & CHANGES
11.1. If you wish to cancel or change a confirmed order or hire booking, you must notify us in writing as soon as possible.
11.2. For event hire bookings cancelled more than 30 days before the event, payments made will be refunded less any non-recoverable costs already incurred in connection with the booking.
11.3. For event hire bookings cancelled between 15 and 30 days before the event, 50% of the total booking value will remain payable.
11.4. For event hire bookings cancelled 14 days or fewer before the event, the full booking value will remain payable and no refund will be provided, subject to any applicable statutory rights.
11.5. For purchased Items, once an order has entered processing, production or dispatch, cancellation will be subject to the status of the order and any costs already incurred.
11.6. Customer-logo printed pouches are subject to clause 10.3.
11.7. Requests to move an event hire booking to another date are subject to availability and may incur additional costs.
11.8. If we cancel an order or booking because we are unable to supply the agreed Items or services, any payment made for the affected Items or booking will be refunded. We will have no further liability except where required by law.
12. LIABILITY
12.1. While hired Items are in the Customer's possession, the Customer bears the risk of loss, theft, damage or misuse.
12.2. To the fullest extent permitted by law, we will not be responsible for indirect or consequential losses arising from the supply, hire or use of the Items.
12.3. Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
12.4. Nothing in these Terms affects any statutory rights that apply to consumers.
13. ENTIRE AGREEMENT
13.1. These Terms, together with the relevant quotation, order or booking confirmation, Invoice and any written instructions supplied by us, form the agreement between you and Hush Pouch Events Ltd.
13.2. Any changes to an agreed order or booking must be confirmed by us in writing.
14. GOVERNING LAW
14.1. These Terms are governed by the laws of England and Wales.
14.2. If any provision of these Terms is found to be invalid or unenforceable, that provision
will be severed and the remainder will continue in full force and effect.
